July 31, 2021As announced by the Hon Minister for Economy during the 2019-2020 budget address, the Registrar of Companies office will carry out a re-registration exercise for all companies and businesses registered prior to 14 June 2019. This will allow businesses and companies to re-register on the Registrar of Companies (‘ROC’) online system. Please note that your original date of incorporation and business/company number will not change with this exercise. The ROC office will process the applications and undertake required due diligence before the companies and businesses are re-registered. The Companies (Budget Amendment) Act 2019 is yet to commence, and re-registration exercise will commence once this amendment to the Act commences. This will ensure that the companies registered prior to the 14 June 2019, are able to re-register itself online and can file and update its records online at the comfort of the applicant’s home or office once the company or business is registered online.
Digital Registration Roadshows
The list of documents required for re-registration are:
Business Name
• Photo ID of all individuals listed in application (E.g. Passport, Voter registration card, Driver Licence)
• TIN card/TIN letter of all individuals listed in the application
• Business name registration certificate containing the latest information issued by the Registrar of Companies in Fiji
• Business name holder details
Registered trust deed (if applicable)
Foreign company registration certificate if foreign company.
• Proof of consent containing signature of all business name holders if lodged by an agent
• Foreign investment registration certificate granted under the Foreign Investment Act 1999 (If obtained)
• Any other relevant supporting document
Foreign Company
• Photo ID of all individuals listed in application (E.g. Passport, Voter registration card, Driver License)
• TIN card/TIN letter of all individuals listed in the application
• A copy of the foreign investment registration certificate granted to the foreign company under the Foreign Investment Act 1999
• A statement of all subsisting charges excluding charges in relation to Property solely situated outside Fiji
• Certified copy (or if a certified copy cannot be obtained, a copy of the instrument and a statutory declaration confirming it is a true and correct copy) of the charter, statutes or memorandum and articles of the foreign company or other instrument constituting or defining the constitution of the foreign company
• Proof of consent containing signature of an officeholder if lodged by an agent
• Foreign company registration certificate containing the latest information issued by the Registrar of Companies in Fiji
• Any other relevant supporting document
Local Company
• Photo ID of all individuals listed in application (E.g. Passport, Voter registration card, Driver License)
• TIN card/TIN letter of all individuals listed in the application
• Articles of Association (if required)
• Registered trust deed (if applicable)
• Foreign company registration certificate granted under the Foreign Investment Act 1999 (If obtained)
• Proof of consent containing signature of an officeholder if lodged by an agent
• Local company registration certificate containing the latest information issued by the Registrar of Companies in Fiji
• Latest change of company name certificate (if required)
• Foreign investment registration certificate (If required)
• Any other relevant supporting document.
